Terms of Use

Welcome to SoloStock. These Terms of Use ("Terms") govern your access to and use of the SoloStock mobile application ("the App," "we," "us," or "our"), including any related services, features, and content. SoloStock is a mobile inventory management, invoicing, and point-of-sale application designed for independent retailers and growing businesses.

By downloading, installing, or using SoloStock, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use SoloStock. By using the App, you represent and warrant that:

• You meet the minimum age requirement
• You have the legal capacity to enter into these Terms
• You will use the App only for lawful purposes and in compliance with all applicable laws and regulations

2. Account Registration

2.1 Optional Accounts

SoloStock works fully offline without requiring an account. However, to access certain features — such as cloud backupand premium subscription features — you must create an account using email/password, Apple Sign-In, or Google Sign-In.

2.2 Account Responsibilities

If you create an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

2.3 Account Termination

You may delete your account at any time from within the App's account settings. We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent or illegal activity.

3. Use of the App

3.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use SoloStock on your personal devices for its intended purpose — managing inventory, customer records, quotes, invoicing, and point-of-sale operations for your business.

3.2 Acceptable Use

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Modify, adapt, or create derivative works based on the App
• Use the App to store, transmit, or distribute malicious software or harmful content
• Attempt to gain unauthorized access to our servers, systems, or other users' data
• Use the App in any way that violates applicable local, state, national, or international law
• Use the App to facilitate money laundering, fraud, or any other illegal financial activity
• Resell, redistribute, or sublicense the App or any part thereof

3.3 Your Data

You retain full ownership of all data you create within SoloStock, including but not limited to inventory records, supplier and customer information, quotes, invoices, financial records, and business settings. We do not claim any intellectual property rights over your data.

4. Subscriptions & Payments

4.1 Free & Premium Features

SoloStock offers both free and premium (paid) features. Core inventory and invoicing functionality is available for free. Premium features, including advanced analytics, unlimited cloud backup, and additional business tools, require an active subscription.

4.2 Subscription Management

Subscriptions are managed through:

• Apple App Store — for iOS users
• Google Play Store — for Android users

All billing, payment processing, and subscription renewals are handled by the respective platform. We do not directly collect or store your payment information (e.g., credit card numbers).

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. You can manage and cancel your subscription through your Apple or Google account settings.

4.4 Refunds

Refund requests are subject to the policies of the Apple App Store or Google Play Store. Please contact the respective platform for refund inquiries. We do not process refunds directly.

5. Intellectual Property

All rights, title, and interest in and to SoloStock — including but not limited to the App's design, code, user interface, graphics, logos, trademarks, and documentation — are owned by Laflo Tech Hub and are protected by intellectual property laws.

You may not use our trademarks, logos, or branding without our prior written consent. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted herein.

6. Cloud Services & Data Storage

6.1 Local-First Architecture

SoloStock is designed as a local-first application. Your data is stored primarily on your device in a local database. The App works fully offline and does not require an internet connection for core functionality.

6.2 Cloud Backup

If you opt in to cloud backup, your data is synchronized to our cloud infrastructure. While we take reasonable measures to protect your cloud data:

• We do not guarantee that cloud services will be uninterrupted, error-free, or available at all times
• We are not liable for data loss resulting from cloud service outages or technical failures beyond our reasonable control
• You are responsible for maintaining your own local data backups

6.3 Data Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of the data you enter into SoloStock. We do not review, validate, or audit the business data stored within your account.

7. Third-Party Services

SoloStock integrates with third-party services to provide certain features. These services operate under their own terms and privacy policies:

We are not responsible for the practices, content, or availability of third-party services. Your use of these services is governed by their respective terms and policies.

8. Disclaimers & Limitation of Liability

8.1 "As Is" Basis

SoloStock is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 No Financial or Legal Advice

SoloStock is a business management tool and does not provide financial, legal, accounting, or tax advice. Any reports, calculations, or data presented in the App are for informational purposes only. You should consult qualified professionals for financial and legal matters.

8.3 Limitation of Liability

To the maximum extent permitted by applicable law, Laflo Tech Hub and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the App
• Loss of data, profits, revenue, or business opportunities
• Interruption of business operations due to App downtime or technical issues
• Errors or inaccuracies in any data, reports, or calculations generated by the App
• Unauthorized access to your account resulting from your failure to protect your credentials

9. Indemnification

You agree to indemnify, defend, and hold harmless Laflo Tech Hub, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party.

10. Modifications to the App & Terms

10.1 App Updates

We may update, modify, or discontinue features of SoloStock at any time without prior notice. We are not obligated to provide any specific features, updates, or support for the App.

10.2 Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and may notify you through the App. Your continued use of SoloStock after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

11. Termination

We may suspend or terminate your access to SoloStock at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Engagement in fraudulent, illegal, or abusive activity
• Extended inactivity (for cloud accounts)
• At your request (account deletion)

Upon termination, your right to use the App will cease immediately. Your locally stored data will remain on your device until you uninstall the App. Cloud data associated with a terminated account will be deleted within 30 days.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or your use of SoloStock shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts in Nigeria.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Laflo Tech Hub regarding your use of SoloStock. They supersede any prior agreements, communications, or understandings, whether oral or written.
